Job Description

The Client:

An award-winning Financial Services organisation based in Central London (investments) and Group head office in County Durham, North East of England.

 The Opportunity:

To establish an effective corporate governance framework for the Trustee, Financial Services organisation and other associated businesses. There are 100 staff based in London, 50 in Coventry and 350 in County Durham.

This is a permanent successor position to the Group Company Secretary who is looking to retire in a few years’ time, so great progression for the right individual.

The Opportunity:

Primarily you will be the “glue” working intimately with the Group Company Secretary and to the wider overarching organisation and Investments Boards. 

You will manage stakeholder relationships between the parent company, organisation and Investments Boards to ensure alignment of business direction. 

  • Provide challenge to the Boards’ deliberations and decision-making;
  • Provide impartial advice to the Chairmen, CEO and board members on the discharge of their statutory duties;
  • Deputise for the Group Company Secretary and undertake ad hoc projects;
  • Establish effective arrangements for NED induction and individual training programmes;
  • Provide advice on the interpretation and impact of legislative, regulatory and governance issues that may impact the business and briefing the Board;
  • Contribute to Trustee succession planning arrangements and provide guidance to the Trustee Board;
  • Develop and implement best practice to promote and sustain good corporate governance;
  • Ensure the flow of business between the Group companies and their respective Committees is planned and co-ordinated, and periodic reports from each Chairman are provided to the respective Boards;
  • Put in place arrangements for evidencing effectiveness of Boards’ ongoing development programme and performance evaluation to (1) identify ongoing development needs of Directors, (2) provide support to Board succession planning with the CEO, and (3) ensure that the Board has the capacity and capability to effective discharge its statutory, strategic and leadership duties;
  • Undertake regular internal and external reviews of the Board’s effectiveness and coordinate implementation of agreed recommendations;
  • Develop appropriate systems to ensure the companies comply with their statutory and legal requirements;
  • Ensure the proper constitution of Boards and Committees and that they operate in accordance with their terms of reference;
  • Engage with Business Assurance, Compliance & Risk, and Trustee Governance functions to ensure effective governance arrangements are in operation and documented for the Trustee Board, organisation and other businesses;
  • Coordinate reviews of Trustee, organisation and Board’s delegated authorities. 

The Candidate: 

  • Educated to Degree standard;
  • Be ICSA qualified (Chartered Governance Institute);
  • If you have attained Fellow status then this would be an advantage, but definitely not essential;
  • At least 5+ years proven and relevant experience;
  • Comfortable knowing your way around an organisation’s business activities and corporate structure;
  • Come with a growth mind set and someone who knows what “good to great” looks like. Eager to benchmark a best practice attitude to corporate governance;
  • Very much a people person, able to work intimately with Stakeholders, be passionate and able to change gears to suit your particular audience;
  • Comfortable coaching and developing your team members;
  • Be a self-starter with leadership qualities, able to influence and adept at resolution, ability to communicate at all levels across the business is vital;
  • A craftsmanship of communicating with reports and presentations and ability to work with integrity, discretion and diplomacy are essential;
  • Ability to work to deadlines and be a doer not a last minute
